Exchange ratios of shares or severance and compensatory payments derived from transactions within the scope of German company law or conversion regulations are regularly subjected to review by (court-appointed) auditors or independent experts (in court).

The election and appointment of the auditor of exchange ratio or severance and compensatory payment is effected by the court. As the representative body of your company you may, however, make appropriate recommendations to the court.

An audit of a company law-motivated business valuation by independent experts (in court) is performed in the event that a shareholder raises objections. The court is in this case usually assisted by independent experts.
