Valuations under Company-Law Aspects
Valuations within the scope of company law include valuations of businesses or business units in view of transactions under company law or conversion regulations. Due to the determination of exchange ratios of shares or severance or compensatory payments associated therewith, such transactions directly affect the financial position of the shareholders. Therefore, special standards have to be applied to such valuations. This is especially true in view of the fact that the exchange ratio of shares or compensation are regularly subject to review by (court-appointed) auditors or independent experts (in court).
Typical occasions for company law-governed valuations include:
- conclusion of inter-company agreements such as control and profit and loss transfer agreements
- demergers
- mergers
- squeeze-outs and de-listings
Additionally, regulations in the articles of association of limited liability companies (GmbH) and in partnership agreements often require the valuation of an enterprise as a whole.

These enterprise values are then used as basis for the determination of exchange ratios or severance payments.
